📄 1. Agreement to Terms
By downloading, installing, or using StemSplitter Studio ("the Software") or accessing our website at stemsplitterstudio.com, you agree to be bound by these Terms & Conditions. If you do not agree, do not install or use the Software.
2. License Grant & Usage Rights
Upon purchasing a StemSplitter Studio Pro license, we grant you a perpetual, non-exclusive, non-transferable license to use the Software on macOS devices you own or control.
- Commercial & Artistic Use: You have full rights to use all separated stems, top loops, acapellas, and audio samples in your own music productions, DJ sets, mixes, and commercial releases without any royalties owed to us.
- No Reselling of Software: You may not reverse-engineer, decompile, redistribute, resell, or sublicense the StemSplitter Studio application itself.
3. User Content & Local Processing
StemSplitter Studio operates strictly on-device. All audio separation, neural network computation, and waveform rendering occur locally on your Mac. We do not claim any copyright or ownership over any audio files you import or export. You are solely responsible for ensuring you have the necessary rights to use and remix the music you process.
💳 4. Order Processing & Merchant of Record
Our web order process is conducted by our online Merchant of Record, Paddle.com Market Ltd ("Paddle"). Paddle is the Merchant of Record for all direct web orders on stemsplitterstudio.com. Paddle handles customer service inquiries and returns for web transactions.
For purchases made via the Apple Mac App Store, transactions and billing terms are handled directly by Apple Inc. under the Apple Media Services Terms and Conditions.
⚖️ 5. Right of Withdrawal & Fair-Use Refund Policy
In accordance with applicable consumer protection legislation (including Directive 2011/83/EU on Consumer Rights), consumers purchasing digital software are generally entitled to a 14-day statutory right of withdrawal. However, because our free starter tier already grants every user 3 full track separations per month to thoroughly evaluate performance and audio quality, our Pro License refund policy incorporates a Fair-Use & Anti-Fraud Threshold:
- Evaluation Period: You may request a 100% refund within 14 calendar days of purchase, provided that the software has not been utilized beyond the free evaluation threshold (a maximum of 3 tracks processed under the Pro license).
- Full Performance & Waiver: Processing 4 or more tracks under the Pro license constitutes full commencement and substantive consumption of the digital performance, after which the voluntary statutory right of withdrawal ceases to apply (except in cases of verified, unresolved technical software failure).
- Automated Device Telemetry: Anonymized operational telemetry bound to your Mac's hardware identifier monitors cumulative processing count to objectively verify refund eligibility.

6. Disclaimer of Warranties & Limitation of Liability
The Software is provided "as is" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, in no event shall the authors or copyright holders be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Software.
